to install ten (10) of the ICEX "Ice Island" proprietary ice production units
for Independent Buyers Co-Op (IBC). The units will be installed in ten
convenience stores in and around the Dallas, TX area.

LAFAYETTE, La., Jun 29, 2004 (BUSINESS WIRE) -- Ultra Pure Water Technologies, Inc. (Pink Sheets:UPWT) announced today that they have signed a Letter of Intent under which Ultra Pure Water Technologies, Inc. (UPWT) will acquire ICEX Holdings Ltd., Inc. (ICEX), a Louisiana company. Under the terms of the agreement, UPWT will acquire 100% of the issued and outstanding shares of ICEX in exchange for shares of UPWT.
David A. Dugas, CEO stated, "This acquisition will be a positive step towards enhancing shareholder value. As a wholly-owned subsidiary of UPWT, ICEX will positively impact UPWT's bottom line. The addition of ICEX's Ice Island production system to our water purification product line will leverage the synergies between ICEX and UPWT and enhance the marketing of the combined product line."
